Tesla and SpaceX explore a merger that would be the largest ever
By FinUties Research · · 13 min read · Research
Elon Musk says special committees at Tesla and SpaceX are examining a combination valued at about $3.5 trillion. The process is exploratory, and it is not yet known whether any deal terms will emerge.
What happened
Elon Musk announced on 21 October 2026 that SpaceX and Tesla are exploring a merger that would create a corporate entity valued at about $3.5 trillion, the largest in history [1]. BBC News reported the same confirmation, with the combined value made up of roughly $1.5 trillion for Tesla and $2 trillion for SpaceX [2]. German broadcaster tagesschau.de put the combined valuation at about $3.38 trillion, so the exact figure varies by source [3].
Special committees have been set up at both companies to examine the proposal [1][2]. Musk is majority-owner of both firms, and the committees were created because of conflict-of-interest recusals [3]. Tagesschau.de described the committees as made up of independent directors [4].
Musk pointed to complementary AI capabilities and to shared manufacturing and robotics expertise [1]. He also said the deal has strategic merit across chips, AI, software and robotics [2]. The combined group could span electric vehicles, space, AI, robotics and satellite communications [4]. Musk cautioned against treating the deal as certain and stressed high uncertainty [1][2]. The merger would need approval from 50% of Tesla shareholders [1].
The announcement came as SpaceX reported its first quarterly profit, $4.4bn for July to September 2026 [1]. Reaction in share prices was uneven. SpaceX shares rose 8% after-hours [1], while tagesschau.de cited a 9% gain for SpaceX and a muted 2% rise for Tesla [3].

How we got here
The idea follows a year in which Musk's businesses have been reshaped. On 3 February 2026 Musk announced that SpaceX would acquire his AI startup xAI in an all-stock deal valued at $1.25 trillion [5]. The deal valued SpaceX at $1 trillion and xAI at $250 billion, and set an exchange ratio of 0.1433 SpaceX share per xAI share [5]. It was meant to combine rockets, AI, space-based internet and the X platform, and to support plans for orbital data centres [5].
The following day, commentary noted that SpaceX's paper valuation now rivalled Tesla's $1.58 trillion [6]. Musk controlled 43% of SpaceX against 13% of Tesla at that point [6]. The same analysis described Tesla as facing declining sales and regulatory headwinds, and said xAI faced regulatory investigations globally over deepfake image generation [6].
Tesla's own position had weakened in some areas. On 17 March 2026 Tesla and LG Energy announced a $4.3 billion battery plant in Michigan with 50 GWh annual capacity, due to start production in 2027 [7]. The plant leans toward energy storage rather than EV batteries, after US EV registrations fell 41% in January 2026 following the phase-out of subsidies [7].
SpaceX then moved toward a public listing. On 3 June 2026 Morningstar estimated SpaceX's fair value at $780 billion, well below its $1.75 trillion IPO target [8]. It noted a $4.28 billion net loss in the latest quarter, with only Starlink, at 69% of revenue, profitable and the AI unit losing $2.5 billion [8]. The same day, an updated prospectus priced shares at $135 for a $1.77 trillion valuation [9]. Musk's stake of more than 82% was worth $866.5 billion, and he faced a 366-day lock-up period [9].
What has changed since then is the profit picture. SpaceX has gone from the $4.28 billion quarterly loss reported by June [8] to a $4.4bn quarterly profit for July to September [1]. The step from a SpaceX–xAI combination to a possible SpaceX–Tesla combination would bring Musk's two largest holdings under one roof [5][1].
Operating and political questions have also accumulated at SpaceX. In September, SpaceX was reported to be setting up in-house turbine blade manufacturing in Bastrop, Texas, amid a multi-year gas turbine shortage that affects power for data centres [10]. In mid-October, Ukraine accused SpaceX of throttling Starlink terminals, limiting service for devices moving faster than 100 mph [11]. Musk said the US military controls Starshield speed limits, and the Pentagon did not confirm that [11].
Why it matters for markets
The first market channel is share-price reaction. The move in SpaceX shares of 8% to 9% against about 2% for Tesla suggests the market initially viewed the news differently for each company [3][1]. If the exploration turned into a formal proposal, relative valuation and any exchange ratio between the two firms could become a central issue. Those terms are not yet known.
A second channel is scale. A combined value of roughly $3.38 trillion to $3.5 trillion would make this the largest corporate combination on record, which could affect how index providers and large holders view the two stocks [3][1]. The sources do not describe any specific index or fund mechanics.
A third channel is regulation and geopolitics. Tagesschau.de pointed to SpaceX contracts with the US military and NASA and to Tesla's dependence on Shanghai [4]. Regulatory hurdles in both the US and China could lengthen any timetable or alter its terms [4]. The Starlink dispute over Ukraine shows how SpaceX's government ties can become a point of scrutiny [11][12].
Governance is a further factor. Because Musk controls both companies, the independence of the special committees could weigh on how any terms are judged [3][4].
What to watch
- Whether the special committees at either company disclose advisers, a timetable or proposed terms. The process is described as preliminary [4].
- Whether a formal proposal specifies the valuation basis, given the gap between the $3.38 trillion and $3.5 trillion figures [3][1].
- How the 50% Tesla shareholder approval requirement would work in practice [1].
- Regulatory responses in the US and China [4].
- Whether SpaceX can repeat its first quarterly profit, after the earlier loss and Morningstar's warnings on its valuation [1][8].
- Further developments on Starlink restrictions in Ukraine and any Pentagon comment [11][12].
- Whether Tesla's shares extend the muted 2% reaction or move more sharply as details emerge [3].
